3. Service Provision

3.1 Service Description

We provide comprehensive facility management services including:

  • Integrated Facilities Management (FM)
  • Hard FM Services (maintenance, technical systems)
  • Soft FM Services (cleaning, hospitality, support services)
  • Security Services
  • Consulting and Advisory Services

3.2 Service Agreements

All services are provided subject to:

  • Formal written service contracts
  • Agreed service level agreements (SLAs)
  • Specific terms and conditions outlined in the contract
  • UAE laws and regulations

3.3 Modifications to Services

We reserve the right to modify, suspend, or discontinue any service with reasonable notice to clients. Material changes will be communicated in accordance with contractual obligations.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information for service delivery
  • Grant necessary access to facilities and equipment
  • Comply with safety and security protocols
  • Make timely payments as per agreed terms
  • Provide reasonable notice for service modifications
  • Maintain adequate insurance coverage as required

5. Fees and Payment

5.1 Pricing

Service fees are determined based on:

  • Duration of contract

  • Market rates and operational costs

5.2 Payment Terms

Unless otherwise specified in the service contract:

  • Invoices are issued monthly in advance
  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges
  • All fees are exclusive of VAT unless stated otherwise

5.3 Disputes

Any disputes regarding invoices must be raised in writing within 14 days of receipt. Uncontested amounts remain payable while disputes are resolved.

6. Intellectual Property

All intellectual property rights in our:

  • Branding and trademarks
  • Proprietary software and tools

remain the exclusive property of Azez Alnoor Facility Management LLC. No content may be reproduced without prior written consent.

7. Confidentiality

  • Contract terms and pricing
  • Proprietary technical information

This obligation continues for 3 years after termination of services.

8. Liability and Indemnification

8.1 Limitation of Liability

Our total liability for any claim arising from service provision shall not exceed the total fees paid by the client in the 6 months preceding the claim.

8.2 Client Indemnification

You agree to indemnify us against claims arising from:

  • Your breach of these terms
  • Your negligence or wilful misconduct
  • Unauthorized use of our services
  • Violation of third-party rights

8.3 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, or pandemics.

9. Termination

9.1 Termination Rights

Either party may terminate services:

  • With 30 days written notice for convenience
  • Immediately for material breach
  • As specified in the service contract

9.2 Effects of Termination

Upon termination:

  • All outstanding fees become immediately due
  • Client must return all company property
  • Confidentiality obligations continue
  • Any accrued rights remain enforceable

10. Dispute Resolution

In the event of disputes:

  1. Negotiation: Parties shall attempt to resolve disputes through good faith negotiation
  2. Mediation: If negotiation fails, parties may pursue mediation
  3. Arbitration: Unresolved disputes shall be referred to arbitration in Dubai, UAE
  4. Governing Law: These terms are governed by UAE laws

11. Website Use

11.1 Acceptable Use

You agree not to use our website to:

  • Engage in illegal activities
  • Distribute malicious software
